Welcome to Bearify, a software-as-a-service platform provided by Ada Labs LLC ("Ada Labs," "we," "us," or "our"). Bearify uses agentic artificial intelligence to help tech engineers create runbooks in natural language for task automation. These Terms of Service ("Terms") govern your access to and use of the Bearify platform, website, and related services (collectively, the "Service"). By creating an account or using Bearify, you ("you" or "User") agree to be bound by these Terms. If you do not agree, you must not use the Service.

To use Bearify, you must register and maintain your own individual user account. Account sharing is not permitted – each person accessing the Service must have their own account. You agree to provide accurate, current, and complete information during registration and to keep your account information updated. You must be at least 18 years old (or the age of legal majority in your jurisdiction) to use the Service.

You are responsible for maintaining the confidentiality of your account login credentials and for all activities that occur under your account. You must not share your password or allow others to use your account. If you suspect any unauthorized use of your account or security breach, you must promptly notify Ada Labs. Ada Labs is not liable for any loss or damage arising from your failure to secure your account.

Bearify is offered on a subscription basis with multiple plan options (e.g., Individual, Startup, Growth plans). Each plan may have different features or usage limits, as described on our website. You may choose either monthly or annual billing for your subscription. Subscription fees are due in advance on the first day of each billing cycle (monthly or yearly as selected) and will be charged to the payment method you provide. Prices do not include applicable taxes, which may be charged to you as required by law.

All subscriptions automatically renew at the end of each billing period (month-to-month or year-to-year) unless you cancel your plan before the next renewal date. By subscribing, you authorize Ada Labs (or its payment processor) to charge your provided payment method for each renewal until you cancel.

You may cancel your Bearify subscription at any time through your account settings or by contacting us. If you cancel, your subscription will remain active until the end of the current paid billing period, but no further renewals will be charged. All payments are non-refundable, and Ada Labs will not provide refunds or credits for any partial-use periods, remaining subscription time, or unused features. This no-refund policy applies whether you cancel your subscription or if your account is terminated by Ada Labs for cause under these Terms.

We strive to maintain Bearify as a secure and respectful platform. You agree to use Bearify only for lawful purposes and in compliance with these Terms and all applicable laws and regulations. When using the Service, you must not engage in any of the following prohibited activities or behaviors:

Ada Labs reserves the right to investigate and take appropriate action, including suspension or termination of accounts, in response to any misuse of the Service or violation of this Acceptable Use policy.

Bearify allows you to create and store content such as runbooks, scripts, instructions, and related materials ("User Content"). You retain all rights and ownership of the User Content you create using the Service. Ada Labs does not claim ownership over the runbooks or other content you develop and input into Bearify. Subject to our Privacy Policy, you are solely responsible for your User Content. By using Bearify, you grant Ada Labs a worldwide, royalty-free license to host, use, copy, and display your User Content solely for the purpose of operating and improving the Service (for example, to store your runbooks and process them through our AI). This license is necessary for us to provide the Service to you and is limited to that purpose.

In the course of using Bearify, the platform's AI may autonomously generate content or material (for instance, automated suggestions, outputs, or templates based on input). Any AI-generated content or materials produced by Bearify's algorithms ("AI-Generated Content") are owned by Ada Labs LLC. Ada Labs retains all right, title, and interest in and to such AI-Generated Content.

License to You: Ada Labs grants you a limited, non-exclusive, non-transferable license to use any AI-Generated Content within the Bearify platform and as incorporated in your runbooks for your personal or internal business purposes. Except for this limited license, you obtain no intellectual property rights in AI-Generated Content. Ada Labs may use or reproduce AI-Generated Content for any purpose (subject to applicable law and our Privacy Policy), including improving the Service and developing new features.

Apart from your User Content, all rights, title, and interest in and to the Service, the Bearify platform, and all materials provided by Ada Labs are and will remain the exclusive property of Ada Labs and its licensors. This includes the software, technology, algorithms, user interface, logos, trademarks "Bearify" and "Ada Labs," and all other content or materials provided by us. Ada Labs grants you a limited, revocable, non-exclusive, non-transferable right to access and use the Service and Ada Labs materials in accordance with these Terms. You may not copy, distribute, modify, or create derivative works from our intellectual property except as explicitly allowed by Ada Labs or permitted by law.

Bearify is provided on a cloud-based, "as available" basis. Ada Labs does not guarantee any specific uptime, availability, or performance levels for the Service. We do not offer any service level agreement (SLA) under these subscription plans. You acknowledge that the Service may occasionally be interrupted, delayed, or unavailable for maintenance, updates, or for reasons beyond our control (such as internet outages or force majeure events).

No Uptime Guarantee: While we strive to keep Bearify online and running smoothly, Ada Labs makes no warranty or representation that the Service will be uninterrupted, timely, secure, or error-free, or that any specific performance metrics will be met. You understand and accept that any use of Bearify is at your own risk.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE BEARIFY SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. ADA LABS DISCLAIMS ALL WARRANTIES AND CONDITIONS, EXPRESS, IMPLIED, OR STATUTORY, INCLUDING ANY IMPLIED WARRANTIES of MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE.

We make no promise that Bearify will meet your requirements or expectations, or that it will produce error-free or accurate runbook outputs. Any advice or information obtained from Ada Labs or through the Service (including AI-generated suggestions) does not create any warranty not expressly stated in these Terms. You are solely responsible for the results obtained from using Bearify, including any automated tasks or processes you implement using runbooks created on the platform.

To the fullest extent permitted by law, in no event will Ada Labs or its officers, directors, employees, agents, or affiliates be liable to you for any indirect, incidental, consequential, special, exemplary, or punitive damages whatsoever. This includes, without limitation, damages for loss of profits, loss of data, business interruption, procurement of substitute services, or any other commercial or economic loss arising out of or related to your use of (or inability to use) Bearify, even if we have been advised of the possibility of such damages. Ada Labs will not be liable for any unauthorized access to, or alteration of, your transmissions or data, any content or conduct of any third party on the Service, or any matter beyond our reasonable control.

Ada Labs' total cumulative liability to you for any claims arising out of or relating to these Terms or the Service, regardless of the form of action, is limited to the total amount (if any) you paid to Ada Labs for the Service in the twelve (12) months immediately preceding the claim (or $100 if you have not made any payment to Ada Labs). If applicable law does not allow the limitation of liability above in full, such limitations will apply to the maximum extent permitted by law.

You acknowledge that Ada Labs has set its prices and provided access to the Service in reliance on the disclaimers of warranty and limitations of liability set forth in these Terms, which reflect an agreed allocation of risk between you and us and form an essential basis of the bargain between us.

You agree to indemnify, defend, and hold harmless Ada Labs LLC and its affiliates, officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees and costs) that arise from or relate to (a) your use or misuse of Bearify, (b) your violation of these Terms, or (c) your violation of any law or rights of any third party. Ada Labs reserves the right, at your expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you (in which case you agree to cooperate with Ada Labs in defending such matter). This indemnification obligation will survive any termination of your account or the Service.

Ada Labs may, in its sole discretion, suspend or terminate your account or access to the Service at any time with or without notice if we determine that you have violated these Terms or are engaged in any conduct that is harmful, unlawful, or otherwise objectionable. Violations of the Acceptable Use rules or other provisions of these Terms may result in immediate termination of your access. Additionally, Ada Labs reserves the right to terminate the Service (or any part thereof) or discontinue your account for any reason by providing notice to you (for example, via the email associated with your account). If we terminate your account for violation of these Terms or harmful behavior, you will not be entitled to any refunds for any subscription fees you have paid.

You are free to stop using Bearify and may request to delete your account at any time. If you wish to terminate your account, you may do so through the account settings or by contacting Ada Labs support. Termination by you will be effective upon Ada Labs processing your request (or at the end of your current subscription term if you specify). After termination, you will lose access to the Service and any data or content in your account, so you should ensure you have exported or saved any runbooks or information you need prior to terminating.

Upon any termination of this agreement, the rights and licenses granted to you will cease immediately, and you must stop all use of Bearify. Sections of these Terms that by their nature should survive termination (such as Content Ownership, Disclaimers, Limitation of Liability, Indemnification, Governing Law, and others that imply survival) will remain in effect after your access to the Service has been terminated.

These Terms of Service and any dispute or claim arising out of or relating to the Service or these Terms will be governed by the laws of the State of California, U.S.A., excluding its conflict of law principles. You agree that such laws will apply no matter where in the United States you are located, or from where you use the Service. Subject to any dispute resolution provisions in these Terms, you agree to submit to the personal and exclusive jurisdiction of the state or federal courts located within the State of California for the purpose of resolving any lawsuit or court proceeding permitted under these Terms. If you access or use Bearify from outside the United States, you do so on your own initiative and are responsible for compliance with local laws, if and to the extent local laws are applicable.

Ada Labs may modify or update these Terms from time to time. If we make material changes, we will provide reasonable notice to you, such as by posting the updated Terms on our website or notifying you via email. The updated Terms will be indicated by an updated "Last Updated" date at the top. Your continued use of Bearify after any changes to the Terms become effective constitutes your acceptance of the revised Terms. If you do not agree to the modified Terms, you must stop using the Service and cancel any active subscription. It is your responsibility to review the Terms periodically for updates.

These Terms (along with any Privacy Policy or other supplemental terms incorporated by reference) constitute the entire agreement between you and Ada Labs regarding your use of Bearify, and supersede all prior and contemporaneous agreements, proposals, or representations, written or oral, concerning its subject matter.

If any provision of these Terms is held by a court of competent jurisdiction to be invalid or unenforceable, that provision will be enforced to the maximum extent permissible and the remaining provisions of these Terms will remain in full force and effect.

The failure of Ada Labs to enforce any right or provision of these Terms will not constitute a waiver of future enforcement of that right or provision. Any waiver of any provision of these Terms will be effective only if in writing and signed by an authorized representative of Ada Labs.

You may not assign or transfer any of your rights or obligations under these Terms without the prior written consent of Ada Labs. We may assign our rights and obligations to an affiliate or in connection with a merger, acquisition, sale of assets, or by operation of law.

These Terms create no third-party beneficiary rights; the agreement is between you and Ada Labs only.

You and Ada Labs are independent contracting parties. These Terms do not create any partnership, franchise, joint venture, agency, fiduciary, or employment relationship between the parties.
